In no event shall our total liability exceed the amount you paid us, if any, in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

12. Indemnification

You agree to defend, indemnify, and hold harmless Mindseed, Inc and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the service.

13. Termination

We may terminate or suspend your access to the service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the service will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the service shall be brought exclusively in the state or federal courts located in Oregon, and you consent to the personal jurisdiction of such courts.

15. Dispute Resolution

Before initiating any legal action, you agree to first attempt to resolve any dispute informally by contacting us at support@loanpayments.org. We will attempt to resolve the dispute within 30 days.

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the service, constitute the entire agreement between you and Mindseed, Inc regarding your use of LoanPayments.org and supersede all prior agreements and understandings.
